1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Axismob Technology Pte. Ltd. ("Axismob", "we", "us", or "our") governing your access to and use of our website, mobile applications, advertising platform, and related services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use our Services.

2. Eligibility

To use our Services, you must:

• Be at least 18 years of age or the age of majority in your jurisdiction
• Have the legal capacity to enter into binding contracts
• Not be prohibited from using the Services under applicable laws
• Provide accurate and complete registration information
• Maintain the security of your account credentials

3. Account Registration and Security

When you create an account with us, you must provide information that is accurate, complete, and current. You are responsible for safeguarding your account password and for any activities or actions under your account.

You agree to notify us immediately of any unauthorized access to or use of your account. We will not be liable for any loss or damage arising from your failure to comply with this security obligation.

4. Services Description

Axismob provides a digital ecosystem including:

• Rewarded Discovery Platform: Advertising technology solutions connecting brands with users
• Gaming Applications: Interactive entertainment experiences
• Content Publishing: Digital novels, comics, and media content
• Social Platforms: Community-based interest networks
• User Acquisition Services: Performance marketing and growth solutions

We reserve the right to modify, suspend, or discontinue any part of our Services at any time without prior notice.

5. User Obligations and Conduct

When using our Services, you agree NOT to:

• Violate any applicable laws, regulations, or third-party rights
• Engage in fraudulent activities, including click fraud or impression fraud
• Use automated systems (bots, scrapers) to access the Services
• Attempt to gain unauthorized access to our systems or networks
• Transmit viruses, malware, or other harmful code
• Harass, abuse, or harm other users
• Impersonate any person or entity
• Interfere with or disrupt the Services or servers

6. Intellectual Property Rights

All content, features, and functionality of the Services, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, data compilations, software, and the compilation thereof (collectively, "Content"), are the exclusive property of Axismob or its licensors and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of our Content without our prior written consent.

7. Payment and Billing

For paid Services:

• All fees are quoted in USD unless otherwise specified
• Payment is due according to the payment terms specified in your agreement
• We reserve the right to change our fees with 30 days' notice
• All payments are non-refundable unless otherwise stated
• You are responsible for all taxes associated with your use of the Services
• Late payments may result in suspension or termination of Services

8. Advertising and Marketing

8.1 For Advertisers

If you use our advertising services, you represent and warrant that:

• You have all necessary rights to advertise the products or services
• Your advertisements comply with all applicable laws and regulations
• Your advertisements do not infringe on third-party intellectual property rights
• You will not engage in fraudulent or deceptive advertising practices

8.2 For Publishers

If you integrate our advertising SDK or platform:

• You must comply with our integration guidelines and policies
• You must not artificially inflate impressions, clicks, or conversions
• You must maintain a brand-safe environment for advertisements
• You are responsible for obtaining necessary user consents

9. Disclaimers and Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, timely, secure, or error-free. We do not warrant the accuracy, completeness, or reliability of any content or data obtained through the Services.

Your use of the Services is at your sole risk. We are not responsible for any damages to your computer system or loss of data resulting from the use of the Services.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL AXISMOB, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of or inability to access or use the Services
• Any conduct or content of any third party on the Services
• Any content obtained from the Services
• Unauthorized access, use, or alteration of your transmissions or content

Our total liability to you for all claims arising from or related to the Services shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or SGD $100, whichever is greater.

11. Indemnification

You agree to indemnify, defend, and hold harmless Axismob and its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from your use of the Services, your violation of these Terms, or your violation of any rights of another party.

12. Termination

We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason, including but not limited to breach of these Terms.

Upon termination, your right to use the Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in Singapore in accordance with the Singapore International Arbitration Centre (SIAC) Rules. The arbitration shall be conducted in English.

Notwithstanding the foregoing, we may seek injunctive or other equitable relief in any court of competent jurisdiction to protect our intellectual property rights.

14. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. We will provide notice of material changes by posting the updated Terms on this page and updating the "Last Updated" date. Your continued use of the Services after such changes constitutes acceptance of the new Terms.

15. Miscellaneous

15.1 Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us, constitute the entire agreement between you and Axismob.

15.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.

15.3 Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.

15.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
